Terms & Conditions Agreement

TriVita Affiliate Program

Welcome to the TriVita Inc. Affiliate Program. This Agreement outlines the terms and conditions for participating in our affiliate program. By signing up as an affiliate, you agree to comply with the terms and conditions set forth in this Agreement.

TriVita’s mission is to help people experience greater wellness through our quality products and services. The TriVita Affiliate Program (TAP) allows experienced e-commerce marketers and influencers to earn commissions from new member acquisitions and reorders of those members.

The TAP program and commissions for sales of TriVita products are applicable exclusively in the U.S.A.; however, approved Affiliate participants may reside outside of the U.S.A.

Article I: Acknowledgment

Upon acceptance from TriVita, requirements for the TAP are as follows:

Must be at least 18 or the age of majority in your jurisdiction.

Must be of legal capacity to form a binding agreement.

Adherence to the policies herein.

Article II: Affiliate Link

After acceptance by TriVita of your application, you will be provided a unique trivita.com affiliate link to promote TriVita products through your marketing efforts.

To earn commissions on purchases made from members that came from your marketing efforts, you must use this link to track and earn commissions.

Any new member who places a product order from your link will be automatically linked to you for 18 months without placing a second order. If the member does not place a second order after the 18-month time period, the member will be unlinked from your TAP account and returned to the TriVita house account. Each purchase a member places that is linked to you will start a new 18-month linkage period.

Article III: Promotion Limitations and Paid Search & Trademarks Restrictions

Promotion Limitations:

You will not engage in any promotional activities on behalf of TriVita that are not permitted under these policies. The use of TriVita Trademarks and/or product names is PROHIBITED in any and all marketing.

The exception to this limitation is as follows: You may mention or use the trademark TriVita and TriVita.com only if TriVita has a specific promotion or campaign and provides the marketing content to the Affiliate.

When using any TriVita trademarked brand or product name, it must be published as a live link directed back to trivita.com. For example, the use of the brand name Nopalea would be a live link https://trivita.com/nopalea

Product testimonials from the website and product catalog are available for use in promotions but can’t be edited or altered. Any new product testimonial created or recorded must be approved by TriVita.

Engaging in fraudulent activity, such as click fraud, cookie stuffing, or unauthorized promotional methods, is strictly prohibited.

You must comply with all applicable laws, regulations, and guidelines, including the Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials.

You must not engage in any form of spam, unsolicited commercial email, or any other deceptive or unethical marketing practices.

Misrepresentation of TriVita’s products/services or making income claims is prohibited. Providing accurate information and avoiding false claims or misleading statements must be strictly followed.

You may not use the TAP in a manner that violates any law, infringes or violates the rights of any third party, or otherwise act in a manner deemed harassing, harmful, hateful, or obscene.

We may delay the issuance of commissions for investigation purposes. We may refuse to issue a commission if we determine in our sole discretion that you committed or participated in any fraudulent, suspicious, criminal, or dishonest activity in connection with the TAP or its policies. All of TriVita’s decisions are final and binding.

Paid Search & Trademarks:

1. Overview

This Paid Search & Trademark Policy ("Policy") governs all search engine marketing (SEM) and paid advertising activities conducted by affiliates participating in our Affiliate Program. The purpose of this Policy is to protect our brand identity, control advertising costs, and prevent search traffic cannibalization.

Compliance with this Policy is a mandatory condition of your participation in the program.

2. Prohibited Bidding (Branded Keywords)

Affiliates are strictly prohibited from bidding on any branded keywords across all paid search platforms, including but not limited to Google Ads, Microsoft Advertising (Bing), and Yahoo! Search.

Prohibited terms include:

Core Brand Terms: Our exact company name, brand name, and any trademarked product names.

Variations & Misspellings: Any phonetic spellings, typos, or clear variations of our brand or product names.

Domain Names: URLs containing our brand name or variations thereof.

3. Mandatory Negative Keywords

To ensure your ads do not accidentally trigger for branded searches, you must actively add our brand names and variations as broad-match negative keywords in all of your paid search campaigns.

You must apply this negative keyword list across your accounts within 48 hours of joining the program or upon updates to the prohibited terms list.

4. Ad Copy and Display URL Restrictions

Your ad creatives, copy, and formatting must clearly distinguish your business from our official brand.

Display URLs: You may not use our brand name, trademark, or URL string within your visible display URLs.

Ad Copy: You may not use our brand name or trademarked phrases in your ad headlines, descriptions, or extensions without prior written approval.

Direct Linking: You are prohibited from linking your paid search ads directly to our official website via your affiliate tracking link. All paid traffic must first land on an independent domain owned and operated by you.

5. Trademark Plus (TM+) Exceptions

Bidding on trademark terms combined with modifiers (e.g., "Brand + Coupon" or "Brand + Review") is strictly prohibited by default.

Exceptions to this rule are granted solely on an individual, case-by-case basis. If you are formally approved for a TM+ campaign via written agreement, your ads must always maintain a lower ad position than our official company ads.

6. Enforcement and Penalties

We continuously monitor search engine results pages (SERPs) using automated brand protection software. If you are found in violation of this Policy, we will enforce the following actions:

First Offense: A formal warning will be issued, and you will have 24 hours to pause the violating ads. Commissions generated during the violation period may be reversed.

Second Offense: Immediate reversal of all pending commissions and a permanent ban from the Affiliate Program.

Article IV: Application

TAP application is free. You must complete all information requirements on the application including how you will promote TAP.

Applications shall be reviewed within 5 business days and you will receive an approval or a decline notification in through the email you submitted on your application.

Article V: Commissions

Earn 50% commission on the sale of the first purchase of all new referred members.

Residual commissions are paid as follows:

TIER #1	15%
TIER #2	5%
TIER #3	2%

First sale commissions are calculated once weekly and paid approximately 5 business days the following week.

Residual commissions are calculated once per month and are paid within 10 business days of the following month.

Commissions are calculated based on the gross dollar amount of the product sale, less taxes, shipping, discounts, and any additional marketing operating expenditures.

TriVita’s product line includes certain products with a higher cost of goods to manufacture and a reduced commission payout. A list of the products and the commission payouts are available in your affiliate business portal.

Therapeutic products do not pay the 50% first sale commission.

No commissions are paid on personal Affiliate product purchases.

Commission sharing is prohibited. You are not permitted to use your own affiliate link to make purchases or create accounts for yourself, your relatives, or employees.

Member product returns will result in a commission deduction from the original sale. If a purchase is canceled, refunded, or returned, partially or in full, the commission on such purchases may be canceled and forfeited.

All commissions are paid through PayPal in US dollars.

Members within their 18-month period and linked to your Affiliate account are protected. All eligible commissions will be paid to the Affiliate regardless of how the order is sourced.

Article VI: Taxes

All taxes applicable to any benefits provided by TriVita under these policies will be your responsibility and TriVita shall not pay any amounts for federal, state or municipal income tax, withholding tax, social security, unemployment or worker’s compensation. Year end 1099 tax statements are provided for personal and business tax filings.

All foreign Affiliate accounts are responsible for reporting their own domestic taxes using the revenue reports from PayPal or the Affiliate business portal.

Article VII: Indemnification

WE WILL HAVE NO LIABILITY FOR ANY MATTER DIRECTLY OR INDIRECTLY RELATING TO THE CREATION, MAINTENANCE, OR OPERATION OF THE INFLUENCER PAGE AND INFLUENCER CONTENT. YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD US, OUR AFFILIATES AND EMPLOYEES, OFFICERS, DIRECTORS, AND REPRESENTATIVES HARMLESS FROM AND AGAINST ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS’ FEES) RELATING TO ANY INFLUENCER CONTENT.

Welcome to TriVita’s Affiliate Connect Program!

This document is designed to introduce you to the Affiliate Connect opportunity and outline the key policies that guide this program. Affiliate Connect is a shared-growth initiative that aligns with our wellness vision and mission—featuring shared advertising and marketing efforts, as well as shared response revenue. After reviewing the policies in this document, please confirm your agreement to the Affiliate Connect Terms and Conditions to begin participating in the TriVita Affiliate Connect Program. Program Policies & Key Information

1. Voluntary Participation - TriVita’s Affiliate Connect Program is entirely voluntary and is not required to maintain active Affiliate status. Participation is at the sole discretion of each individual, and we encourage involvement only from those who fully agree to the program’s terms and policies. This program is designed for Affiliates who wish to participate in company developed advertising initiatives to expand beyond personal contacts and grow their businesses.

2. No Refunds or Exchanges - All payments made to participate in the Affiliate Connect Program are non-refundable. The program is excluded from any refund or guarantee policy. Affiliates will not receive replacements or exchanges for any contact once assigned.

3. No Guaranteed Results or Income - Participation in the Affiliate Connect Program does not guarantee any specific results, reorder rates, or income. Affiliates are prohibited from making statements or promises that imply income projections or a rate of return from Affiliate Connect participation.

4. Not an Investment - The Affiliate Connect Program is not an investment, and Affiliates may not present or position it as such. The program is intended for Affiliates who want to expand their contact base, grow their businesses, and share the wellness benefits of TriVita’s products.

5. Variable Response Rates & Periodic Pricing Adjustments - Response results vary due to the nature of direct-response advertising—including television, radio, internet, and other marketing campaigns. Seasonal trends, economic conditions, and world events may influence performance. As a result, Affiliate Connect participation pricing will be evaluated and established periodically based on the current performance and effectiveness of TriVita’s marketing campaigns. Pricing may be adjusted accordingly.

6. TriVita Retains Contact Ownership - Ownership of all contacts assigned through Affiliate Connect remains with TriVita. Affiliates receive only the contact’s name and order details; no additional contact information is provided.

7. Access to Assigned Contact Information - Affiliates participating in specialty campaigns, such as House Win Back or direct response advertising, will receive daily, weekly, and monthly reports detailing sales activity from their assigned contacts. These assigned contacts will not appear in the Affiliate’s online portal at TriVita.com. The provided reports serve as the temporary method for Affiliates to track and monitor the performance of their assigned contacts.

8. 18-Month Contact Linkage - Assigned contacts remain linked to an Affiliate for 18 months from the date of assignment. If the member does not place a second order after the 18-month time period, the member will be unlinked from your TAP account and returned to the TriVita house account. Any purchase activity by the contact at any time resets and extends the 18-month linkage period.

9. Placement of Assigned Contacts - All assigned contacts are placed on the Affiliate’s first tier and cannot be moved or reassigned to another Affiliate. Placement is permanent for the duration of the contact’s eligibility period.

10. Commission Structure - Once a contact is assigned through Affiliate Connect, the Affiliate is eligible for a 50% first-sale bonus on the contact’s initial purchase after assignment. All subsequent purchases from the contact pay out at 15%. Commissions are calculated on the product subtotal after any coupons, VitaPoints, or additional marketing expenditures are applied.

11. Company-Supported Communications - TriVita’s Affiliate Connect Program includes a comprehensive range of company communications—such as catalogs, special reports, email marketing, digital marketing, traditional television broadcasts, and more—to support Affiliate success.

12. Right to Modify Policies and Agreement Terms - TriVita reserves the right to modify these Policies and Procedures, as well as the terms of this Agreement, at its sole discretion. An Affiliate’s continued participation signifies their acceptance of any such revisions.
