Econ For Kids Affiliate Program Terms and Conditions

Welcome to the Econ For Kids Affiliate Program ("Program")!

By signing up and participating in the Program, you ("Affiliate," "you") agree to comply with these Terms and Conditions ("Agreement") between you and Econ For Kids LLC ("we," "us," "Company," or "merchant"). If you do not agree to these Terms, please do not participate in the Program.

1. DEFINITIONS

Unless defined elsewhere in the Agreement, capitalized terms are defined as follows:

"Affiliate Account" means your account within the Program platform.

"Affiliate Links" means the unique tracking URLs and promotional links generated through the Program platform for your use.

"Commission" means the percentage or fee earned by Affiliate on qualifying purchases as specified in your Affiliate Account.

"Confidential Information" means any non-public information related to the Company's business, including but not limited to customer lists, sales data, commission structures, marketing strategies, product information, and business plans.

"Coupon Code" means any promotional discount code provided to you by the Company or generated through your Affiliate Account.

"Customer" means any individual who visits our website through your Affiliate Link or uses your Coupon Code.

"Econ For Kids Property" means all trademarks, logos, service marks, trade names, copyrighted content, website designs, promotional materials, and other intellectual property owned by or licensed to Econ For Kids LLC, including but not limited to "Econ For Kids," "Little Economists," and related branding.

"Net Order Value" means the purchase price paid by a customer, excluding taxes, shipping fees, discounts, refunds, and chargebacks.

"Qualifying Purchase" means a completed transaction where payment has been received and cleared, the product has shipped, and the return/refund window has closed without incident.

"Website" means any website, blog, social media account, mobile application, or other digital or physical platform owned, operated, or controlled by Affiliate.

2. ELIGIBILITY AND ENROLLMENT

2.1 Application Process

To become an Affiliate, you must complete the registration form and provide all required information. We will review your application and notify you of acceptance or rejection, typically within 5 business days.

2.2 Approval or Rejection

We reserve the right to approve or reject any affiliate application at our sole discretion. Your application may be rejected if:

Your content or promotional methods are inconsistent with our brand values
Your marketing practices are misleading, deceptive, or inappropriate
Your Website promotes content that conflicts with our mission of financial literacy for children
You have previously violated these Terms or engaged in fraudulent activity
Any other reason we determine in our sole discretion

You acknowledge that we have no obligation to provide reasons for rejection and you will have no legal recourse against us for any rejection or termination decision.

2.3 Affiliate Eligibility Requirements

You must be at least 18 years of age or the age of majority in your jurisdiction
You confirm you are participating for business purposes, not personal use
If registering on behalf of a company, you represent and warrant that you have authority to bind that entity to this Agreement
You are responsible for ensuring your employees, agents, and subcontractors comply with this Agreement

2.4 Account Security

You are responsible for maintaining the confidentiality of your Affiliate Account login credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

3. AFFILIATE LINKS, COUPONS, AND TRACKING

3.1 Link Generation and Use

Your Affiliate Links are automatically generated through the Program platform. You may generate links for specific products or collections as made available in your account.

3.2 Link Attribution Rules

If a customer clicks on multiple Affiliate Links, the most recent link receives credit for the referral
You must use only the Links provided through the official Program platform
You may not manipulate, alter, or modify any Affiliate Links or tracking code
You may not use direct linking methods that bypass our tracking system

3.3 Coupon Codes

If you receive a custom Coupon Code, you may promote it according to these Terms
You are not authorized to create, distribute, or modify Coupon Codes without express written permission
If a customer both clicks your Affiliate Link and uses your Coupon Code, you will receive commission only once (no double commission)

3.4 Cookie Tracking

We use cookies to track referred customers for 60 days from their initial click on your Affiliate Link
If a user clears cookies, blocks tracking, or uses privacy tools that prevent tracking, commissions cannot be guaranteed
Technical issues with our tracking system will be resolved at our sole discretion; we are not liable for tracking failures

4. COMMISSIONS AND PAYMENTS

4.1 Commission Structure

You earn a Commission when a referred customer completes a Qualifying Purchase. Commission rates are specified in your Affiliate Account and may vary by product category.

4.2 Commission Calculation

Commissions are calculated based on Net Order Value only. The following are excluded:

Taxes
Shipping and handling fees
Discounts and promotional credits
Gift card purchases
Any amounts subsequently refunded

4.3 Non-Qualifying Transactions

You will NOT receive commissions for:

Transactions resulting in refunds, chargebacks, or cancellations
Your own purchases or those made by your immediate family members (spouse, children, parents, siblings) or anyone residing at your address
Purchases made by employees of Econ For Kids LLC
Stores or accounts you own or control
Fraudulent or suspicious transactions
Transactions that violate these Terms

4.4 Payment Terms

Payment details must be provided in your Affiliate Account dashboard
Payments are issued quarterly(every three months) according to the following schedule:
- Q1 (January-March): Paid by April 30
- Q2 (April-June): Paid by July 31
- Q3 (July-September): Paid by October 31
- Q4 (October-December): Paid by January 31
A minimum payout threshold of $50 must be met to receive payment. If your commission balance is below the threshold, it will roll over to the next quarter until the minimum is reached
Payment methods available will be specified in your dashboard
Commissions are calculated and finalized 30 days after the end of each quarter to account for returns and refunds. For example, Q1 commissions (January-March) are finalized and paid by April 30
We will make commercially reasonable efforts to process payments by the dates specified above. Payments may be delayed due to fraud review, missing tax documentation, payment processor issues, or force majeure events
If you have not received payment within 15 business days after the scheduled payment date and believe there is an error, contact kelly@econforkids.com

4.5 Commission Reversals and Withholding

We reserve the right to:

Withhold or reverse commissions that appear fraudulent or were earned in violation of these Terms
Conduct fraud and risk analysis on all transactions
Withhold payment during any investigation period
Reclaim any commissions paid in error
Set off amounts owed from future payments

If commissions are later determined to be invalid, you agree to repay such amounts within thirty (30) days of notice. If this Agreement terminates before full repayment, you will pay the remaining balance within thirty (30) days of termination.

4.6 Tax Responsibilities

You are solely responsible for all applicable taxes arising from your participation in the Program, including income taxes, self-employment taxes, and any other taxes required by your jurisdiction.

You must provide a completed W-9 form (US affiliates) or W-8 form (international affiliates) before your first payment is issued
We will not process any payments until we receive your completed and accurate tax documentation
We may issue IRS Form 1099-NEC if you earn:
- $600 or more in calendar year 2025
- $2,000 or more in calendar year 2026 and subsequent years (threshold adjusted annually for inflation per the One Big Beautiful Bill Act)
Regardless of whether you receive a 1099-NEC, you are required to report ALL affiliate income on your tax return, even amounts below the reporting threshold
You are responsible for updating your tax information if it changes (new address, business name, EIN, etc.)
If taxes are not collected by us, you are responsible for determining tax obligations and self-remitting to appropriate authorities
You are responsible for any tax audits, penalties, or liabilities related to your affiliate income
We reserve the right to withhold payments or backup withhold at applicable IRS rates if you fail to provide valid tax documentation

4.7 Modification of Commission Terms

We reserve the right to modify commission rates, payment terms, or fee structures at any time with reasonable advance notice. Notice will be provided by email or through your Affiliate Account dashboard.

Commission Rate Changes for Existing Affiliates: If we reduce commission rates, existing affiliates will receive at least 30 days' written notice. Sales generated from clicks that occurred before the rate change will be honored at the original commission rate, provided the purchase is completed within the cookie tracking window.

5. MARKETING GUIDELINES AND AFFILIATE RESPONSIBILITIES

5.1 General Marketing Standards

Affiliates must:

Comply with all applicable federal, state, and local laws and regulations
Comply with FTC Endorsement and Testimonial Guidelines, including clearly and conspicuously disclosing that you receive compensation for affiliate referrals
Maintain accurate, truthful, and non-misleading marketing materials
Avoid spammy, deceptive, or manipulative marketing practices
Present our products and services fairly and accurately

5.2 Required FTC Disclosures

You must clearly disclose your affiliate relationship in all promotional content. Acceptable disclosures include:

"I earn a commission if you purchase through my link"
"This post contains affiliate links, meaning I earn a small commission at no cost to you"
Prominent disclosure statements on websites, blog posts, social media, and videos
For videos/podcasts: "This video/podcast contains affiliate links, which means I may earn a commission at no extra cost to you"

Disclosures must be:

Clear and conspicuous
Placed before the affiliate link or call-to-action
In plain language that consumers can easily understand
Not hidden in footnotes, fine print, or "read more" sections

5.3 Prohibited Marketing Practices

You may NOT:

Make false, misleading, or unsubstantiated claims about our products
Engage in spam, unsolicited email marketing, or bulk messaging
Use malware, spyware, adware, or any aggressive advertising methods
Purchase or register search engine keywords, Google Ads, or PPC campaigns using "Econ For Kids," "Little Economists," or any variation/misspelling of our trademarks without written permission
Use our trademarks in domain names, social media handles, or business names without written permission
Impersonate Econ For Kids LLC or imply you are an official representative
Copy, mirror, or replicate the look and feel of our website or materials
Engage in cookie stuffing, click fraud, or other technical manipulation
Use incentivized traffic schemes (cashback sites, paid-to-click, etc.) without approval
Promote on websites containing adult content, violence, discrimination, hate speech, illegal activities, or other objectionable content
Make unauthorized representations or warranties about our products or services
Encourage customers to leave negative reviews of competitors

5.4 Email Marketing

If you have an opt-in email list where subscribers have explicitly consented to receive emails from you, you may promote our products subject to the following:

You must have documented proof of opt-in consent
All emails must include clear unsubscribe functionality
You must comply with CAN-SPAM Act and other email marketing laws
You may not send emails on behalf of or appearing to be from Econ For Kids LLC
You must include your affiliate disclosure in all promotional emails

5.5 Social Media Marketing

Follow each platform's terms of service and advertising policies
Include proper affiliate disclosures in all posts (e.g., #ad, #affiliate)
Do not create fake accounts or engagement
Do not use our trademarks in usernames or handles without permission

5.6 Duty to Inform

You must promptly inform us of any information that could lead to a claim, demand, or liability against Econ For Kids LLC by any third party.

5.7 Prohibited Activities - Specific

You will NOT:

Create sub-affiliate networks or recruit other affiliates without written permission
Use bots, automated traffic, or fake traffic sources
Self-refer or make purchases for personal use through your own links
Bid on our brand terms in paid search campaigns
Use misleading redirects or cloaked URLs
Display unauthorized coupon codes publicly
Promote on coupon/deal sites without approval

6. INTELLECTUAL PROPERTY RIGHTS

6.1 License Grant to Affiliate

During the term of this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

Use Econ For Kids Property solely for the purpose of promoting our products according to these Terms
Display our approved logos, banners, and promotional materials on your Website

This license automatically terminates upon termination of this Agreement.

6.2 Restrictions on Use

You acknowledge and agree that:

All Econ For Kids Property is and remains our exclusive property
You acquire no ownership rights in any Econ For Kids Property
You will use our trademarks and materials only as expressly permitted in this Agreement
You will not alter, modify, or create derivative works from our materials without written permission
You will comply with any brand guidelines we provide
All goodwill generated from your use of our trademarks inures to our benefit

6.3 Trademark Restrictions

You may NOT:

Register any domain names, trademarks, or business names containing "Econ For Kids," "Little Economists," or confusingly similar variations
Use our trademarks in meta tags, page titles, or hidden text
Apply for trademark registration for any marks similar to ours
Contest the validity of our trademarks
Use our trademarks in a manner that implies endorsement, partnership, or official affiliation beyond the scope of this Program

6.4 Proprietary Rights

To the extent any Econ For Kids Property or derivative works are created by you in the course of your promotional activities, you hereby assign all right, title, and interest in such materials to Econ For Kids LLC, including all intellectual property rights. You waive any moral rights to such materials.

6.5 Our Use of Your Intellectual Property

You grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use your name, likeness, trademarks, and promotional content for the purpose of:

Promoting the Affiliate Program
Featuring you as a program participant
Marketing and promoting Econ For Kids LLC

We may showcase your content, testimonials, or promotional materials in our own marketing at our discretion. We will not use your content in a manner that falsely implies endorsement of products you have not personally reviewed or promoted.

6.6 Ownership of Program Materials

All aspects of the Program, including the affiliate platform, tracking technology, commission structures, and related documentation, are our proprietary property and trade secrets.

7. CONFIDENTIALITY AND DATA PRIVACY

7.1 Confidential Information Definition

"Confidential Information" includes any non-public information related to our business, including:

Customer lists, names, and contact information
Sales data, revenue, and financial information
Commission structures and payment terms
Business strategies, marketing plans, and product roadmaps
Proprietary processes and methodologies
Any information marked as confidential

7.2 Confidentiality Obligations

You agree to:

Use Confidential Information solely for performing your obligations under this Agreement
Protect Confidential Information with the same degree of care you use for your own confidential information (but no less than reasonable care)
Not disclose Confidential Information to third parties except to employees or contractors who need to know and are bound by similar confidentiality obligations
Not use Confidential Information for your own benefit or the benefit of third parties

7.3 Data Privacy and Customer Information

If you receive any customer data or personal information through the Program:

You agree to:

Comply with all applicable data protection laws, including GDPR, CCPA, and other privacy regulations
Comply with the Children's Online Privacy Protection Act (COPPA) - You acknowledge that our products are marketed to families with children under 13. You will not knowingly collect personal information from children under 13 without verifiable parental consent
Use customer data only for authorized Program purposes
Implement appropriate security measures to protect personal information
Not sell, rent, or share customer data with third parties
Delete customer data when no longer necessary for Program purposes
Notify us immediately of any data breach or unauthorized access

You acknowledge that:

Customer data remains our property at all times
We may audit your data handling practices
You are liable for any data breaches or privacy violations you cause

7.4 Privacy Policy Compliance

Your participation in the Program is governed by our Privacy Policy. You must maintain your own privacy policy on your Website disclosing:

Your use of affiliate links and tracking cookies
How you collect and use visitor information
Compliance with applicable privacy laws

7.5 Exceptions

Confidential Information does not include information that:

Is or becomes publicly available through no breach of this Agreement
Was already in your possession before disclosure by us
Is independently developed by you without reference to our Confidential Information
Is rightfully received from a third party without confidentiality restrictions

7.6 Survival

Your confidentiality obligations survive termination of this Agreement indefinitely.

8. TERM AND TERMINATION

8.1 Term

This Agreement begins when you are accepted into the Program and continues until terminated by either party.

8.2 Termination by Affiliate

You may terminate this Agreement at any time by:

Sending written notice to kelly@econforkids.com
Ceasing all promotional activities
Removing all Affiliate Links and promotional materials

8.3 Termination by Company

We may suspend or terminate your participation immediately, with or without cause, including but not limited to:

Breach of any provision of this Agreement
Suspected fraud or unethical behavior
Misleading or deceptive marketing practices
Violation of FTC guidelines or other laws
Damage to our brand reputation
Prolonged inactivity
Any reason we determine in our sole discretion

8.4 Effects of Termination

Upon termination:

You must immediately cease using all Econ For Kids Property
You must remove all Affiliate Links and promotional materials from your Website and other channels
Your license to use our trademarks and materials is immediately revoked
You must return or destroy all Confidential Information and promotional materials
All unpaid commissions for valid transactions will be paid according to normal payment schedule
Commissions for fraudulent or invalid transactions will be forfeited
Your access to the Affiliate Account will be revoked

8.5 Survival

The following provisions survive termination: Sections 4.5 (Commission Reversals), 4.6 (Tax Responsibilities), 6 (Intellectual Property), 7 (Confidentiality), 9 (Limitation of Liability), 10 (Indemnification), and 12 (General Provisions).

9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

9.1 No Warranties

THE PROGRAM, WEBSITE, AFFILIATE LINKS, PROMOTIONAL MATERIALS, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness of information
Uninterrupted or error-free operation
That the Program will meet your requirements or expectations

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Econ For Kids LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

Loss of revenue, profits, or anticipated commissions
Loss of business opportunity or goodwill
Loss of data or information
Cost of substitute services
Any other intangible losses

Even if we have been advised of the possibility of such damages.

9.3 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.4 Basis of the Bargain

You acknowledge that we have set our prices and entered into this Agreement in reliance upon the limitations of liability and disclaimers of warranties set forth herein, and that the same form an essential basis of the bargain between the parties.

9.5 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

Acts of God, natural disasters, or severe weather
War, terrorism, civil unrest, or government action
Internet or telecommunications failures
Cyber attacks or hacking incidents
Payment processor outages
Pandemics or public health emergencies
Labor disputes or strikes

We will use reasonable efforts to resume performance as soon as practicable.

10. INDEMNIFICATION

10.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Econ For Kids LLC, its owners, officers, employees, contractors, agents, and affiliates (collectively, "Indemnified Parties") from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your breach of any representation, warranty, or obligation in this Agreement
Your marketing practices, content, or promotional materials
Your violation of any law or regulation, including FTC guidelines, privacy laws, or intellectual property laws
Your misuse of Affiliate Links, Coupon Codes, or Econ For Kids Property
Your Website content or user conduct on your Website
Any false or misleading statements you make about our products or services
Your negligence or willful misconduct
Tax liabilities, audits, or penalties related to your affiliate income
Third-party claims that your content infringes their intellectual property rights
Data breaches or privacy violations you cause

10.2 Indemnification Procedures

If we seek indemnification:

We will provide you with prompt written notice of any claim
You will have the right to control the defense and settlement of the claim
We may participate in the defense at our own expense
You may not settle any claim in a manner that admits liability on our behalf or imposes obligations on us without our prior written consent
You will keep us reasonably informed of the status of the defense

10.3 Our Right to Participate

We reserve the right to assume control of the defense and settlement of any claim at any time if we determine it is in our best interest to do so.

11. INDEPENDENT CONTRACTOR RELATIONSHIP

11.1 No Employment or Partnership

You are an independent contractor, not an employee, partner, agent, joint venturer, or representative of Econ For Kids LLC.

This Agreement does not:

Create an employment relationship
Entitle you to employee benefits
Make you eligible for workers' compensation, unemployment insurance, or other benefits
Grant you authority to make commitments on our behalf
Create a partnership or joint venture

11.2 No Authority

You have no authority to:

Bind us to any agreement or obligation
Make representations or warranties on our behalf
Incur liabilities in our name
Enter into contracts on our behalf

11.3 Your Responsibilities

As an independent contractor, you are responsible for:

Your own business expenses
Your own taxes and tax reporting
Your own insurance coverage
Compliance with all applicable laws
Your own business operations and decisions
Understanding that your promotional activities may create sales tax obligations for the Company in your state. We reserve the right to terminate affiliates in jurisdictions where their activities create undue tax compliance burdens

12. GENERAL PROVISIONS

12.1 Modification of Terms

We reserve the right to modify, amend, or update this Agreement at any time. Changes will be effective upon:

Posting the updated Agreement on our website, AND
Sending email notice to the address in your Affiliate Account

Your continued participation in the Program after such notice constitutes acceptance of the revised Terms. If you do not agree to the changes, you must terminate your participation.

Material changes (such as significant reductions in commission rates) will be provided with reasonable advance notice, typically 30 days.

12.2 Entire Agreement

This Agreement, together with any documents incorporated by reference, constitutes the entire agreement between you and Econ For Kids LLC regarding the Program and supersedes all prior communications, agreements, or understandings, whether written or oral.

12.3 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

12.4 Waiver

Our failure to enforce any provision of this Agreement does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of Econ For Kids LLC.

12.5 Assignment

You may not assign, transfer, or delegate this Agreement or any rights or obligations hereunder without our prior written consent. Any attempted assignment without consent is void.

We may assign this Agreement to any affiliate, successor, or purchaser of our business without notice to you or your consent.

12.6 No Third-Party Beneficiaries

This Agreement is solely for the benefit of the parties and does not create any rights for third parties.

12.7 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising from or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue.

12.8 Arbitration (Optional - Alternative Dispute Resolution)

For disputes involving less than $10,000, either party may elect binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in Los Angeles County, California. Each party will bear its own costs and fees.

This arbitration provision does not prevent either party from seeking injunctive relief in court for breaches involving intellectual property or confidentiality.

12.9 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING FROM THIS AGREEMENT.

12.10 Notice

All notices under this Agreement must be in writing and will be deemed delivered when:

Hand-delivered with written receipt
Sent via email to kelly@econforkids.com (for Company) or the email in your Affiliate Account (for you)
Sent via certified mail, return receipt requested, to the address on file

You must keep your contact information current in your Affiliate Account.

12.11 Headings

Section headings are for convenience only and do not affect interpretation of this Agreement.

12.12 Counterparts

This Agreement may be executed in counterparts, each of which is deemed an original and together constitute one agreement. Electronic signatures are valid and binding.

13. PROGRAM MODIFICATIONS AND DISCONTINUATION

We reserve the right to:

Modify, suspend, or discontinue the Program at any time
Change commission structures, payment terms, or Program features
Remove products from the Program
Implement new rules or requirements

We will provide reasonable notice of material changes. If we discontinue the Program entirely, we will provide at least 30 days' advance written notice to all active affiliates. We are not liable for any losses resulting from Program modifications or discontinuation.

15. ACKNOWLEDGMENT AND ACCEPTANCE

By clicking "I Agree," registering for the Program, or using your Affiliate Links, you acknowledge that:

You have read and understand this Agreement
You agree to be bound by all terms and conditions
You are authorized to enter into this Agreement
You will comply with all applicable laws and regulations
You understand this is a legally binding contract
