Linear Link Affiliate Terms of Service

Welcome to the Linear Bar Link Affiliate Program ("Program"). These Terms of Service ("Terms") govern your participation in the Program as a link affiliate (“Affiliate”). By participating in the Program, you agree to comply with these Terms. We reserve the right to modify these terms at our discretion with no notice to you.

Applying for our Program

You are applying for the Program. Linear reserves the right to decline or remove you from our Program at our discretion. As soon as your application is accepted, you can start sharing your affiliate link and start earning commissions.

Affiliate Conduct

As an Affiliate, it is expected that your conduct will always be respectful, courteous, consistent with societal norms, and in strict accordance with Linear’s values. Linear has a zero-tolerance policy for disrespectful, discriminatory, or any other type of questionable communications or actions. Further, any conduct which violates any laws is strictly prohibited. Any Affiliates found engaging in the prohibited conduct will be subject to discipline, up to and including the immediate termination of any agreement, including these Terms, between any such Affiliates and Linear and removal from the Program.

Indemnification

Affiliates agree to indemnify, defend and hold harmless Linear from any claims, damages, or liabilities arising from their breach of these Terms or any applicable laws or from Affiliate’s participation in the Program.

Intellectual Property Rights

4.1 License: Affiliates are granted a limited, non-exclusive, non-transferable license to use the brand's trademarks and promotional materials solely for the purpose of fulfilling their obligations under these Terms.

4.2 Ownership. All intellectual property rights in Linear's materials remain the exclusive property of Linear. Any content made by any Affiliate in which a Linear product is used, referenced, mentioned, or promoted shall be deemed a work made for hire and any copyrights in and to the content shall be owned exclusively by Linear.

Affiliate Commissions

Your affiliate dashboard is unique to you. It contains everything you'll need to promote our site and our product, including:

Your affiliate link,
One-click sharing to social media,
Banner ads,
And more sharing resources.

You can access your affiliate dashboard through the Linear Link at Linearbar.com

As your followers use your affiliate link or code to make a purchase on our website, you will receive credit for each purchase made with your affiliate link or code. Your commissions will be reflected in real-time on your affiliate dashboard.

You will not receive commissions in any shape or form for the recruitment of other affiliates. This includes, but is not limited to, ongoing or future pro-rata commissions being paid to Affiliates for purchases made through a recruited affiliate’s link or code.

We can't track your sales without your followers using your custom link or code, so please be sure to use your affiliate link when posting. Our social sharing shortcuts have your affiliate link embedded in their posts.

When a prospect visits our site from your affiliate link or code, we will be able to register their purchase (if/when they make one), and credit the sale to you.

As your referrals generate sales, you will earn affiliate commissions. Please contact our affiliate manager for the most up-to-date commission rates.

Commission earned will be paid each week via PayPal, and you are responsible for keeping your payment information up to date and maintaining its accuracy. Linear has no duty to verify the accuracy of the payment information provided and will not do so. If inaccurate payment information is provided to Linear and Linear makes payment consistent with that information, Affiliate agrees that Linear is not liable to Affiliate for such payment.

Restrictions

a) We do not allow search engine marketing with an affiliate link or code. Running search engine marketing with your affiliate code will result in forfeiture of any and all commissions and removal from the affiliate program. If an affiliate marketing partnership is a better fit, please contact Support@Linearbar.com to discuss.

b) Refrain from posting your referral codes and links to any of our social media pages like Facebook, Instagram, and Twitter other than that, you may post anywhere you like.

Refrain from sending DMs and emails to any potential customers with your referral link and code on it.
Your personal code can be used for personal purchases, but you will not receive credit for said purchases.

Sample Product Release Waiver

As an Affiliate you will occasionally be given the opportunity to test new products. By accepting the Terms and participating in the Program, you agree to indemnify, defend, release, and hold Linear harmless for any adverse reaction, illness, or other condition resulting from consuming product only available to you as an Affiliate, or from any third-party with whom you shared said product.

Disclosures

The Federal Trade Commission (FTC) has endorsement rules in place for affiliate marketing. In short, they want you to disclose that you have a business relationship with us when you promote and post your link. When posting or sharing your link, you should make it known to your readers and followers that you will receive compensation if they buy a product via your link. This declaration should be clear and conspicuous and reiterated as needed.

Nature of Services

Affiliate acknowledges that Affiliate’s role is not that of an employee. Linear is therefore free, in its sole discretion to accept, modify, or reject your recommendations or work product.

Independent Contractor

It is the express intention of Linear and Affiliate that the Affiliate performs the services described above as an independent contractor to Linear, and nothing in these Terms should be construed to create a partnership, joint venture or employer-employee relationship. The Affiliate (a) is not the agent of Linear and (b) is not authorized to make any representation, contract, or commitment on behalf of Linear.

Taxes and Withholdings

Linear shall not be responsible for paying any federal, state or local taxes on compensation, and you shall be solely responsible for the payment thereof. Linear may, however, report payments made to you hereunder to tax authorities and shall inform you of such actions. You agree to accept exclusive liability for complying with all applicable state and federal laws, including laws governing self-employed individuals, if applicable, such as laws related to payment of taxes, social security, disability, and other contributions based on fees paid to you under these Terms. Linear will not withhold or make payments for social security, unemployment insurance or disability insurance contributions, or obtain workers’ compensation insurance on your behalf. You hereby agree to indemnify and defend Linear against any and all such taxes or contributions, including penalties and interest. You agree to provide proof of payment of appropriate taxes on any fees paid to you under these Terms upon reasonable request of Linear.

Amendments Waiver

No modification of or amendment to this Terms, or any waiver of any rights under these Terms, will be effective unless in writing and signed by you and Linear.

Attorney’s Fees

In any court action at law or equity that is brought by one of the parties to these Terms, to enforce or interpret the provisions of these Terms, or otherwise relating to the Program, the prevailing party will be entitled to reasonable attorneys’ fees and costs, in addition to any other relief to which that party may be entitled.

Choice of Law

Any dispute arising out of, or relating to, the Program, shall be governed by the substantive laws of the State of California, and the venue for any dispute shall Los Angeles, California.

Assignability

Affiliates may not sell, assign or delegate any rights or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between the Affiliate and Linear with respect to the Program and supersedes all prior written and oral agreements between the parties regarding the subject matter of the Program.

Voluntary Nature of Agreement

You acknowledge and agree that you are accepting these Terms voluntarily and without any duress or undue influence by Linear or anyone else. You further acknowledge and agree that you have carefully read the Terms and have asked any questions needed to understand the terms, consequences and binding effect of the Terms and fully understand it to his or her satisfaction. Finally, you agree that you have been provided an opportunity to seek the advice of an attorney of its choice before accepting the Terms.

Severability

If any provision of the Terms are found to be illegal or unenforceable, the other provisions shall remain effective and enforceable to the greatest extent permitted by law.

Further Assurances

You agree, upon request, to execute and deliver any further documents or instruments necessary or desirable to carry out the purposes or intent of these Terms.

Terminations

20.1 Termination by Affiliate. Affiliates may terminate their participation in the Program at any time by providing written notice to Linear.

20.2 Termination by Linear. Linear reserves the right to terminate Affiliate’s participation in the Program for any reason, including but not limited to breach of these Terms or any applicable laws.

20.3 Effect of Termination. Upon termination, Affiliate must cease all promotion of Linear products and remove any affiliate links from their social media accounts, channels, websites, or any other place in which their links have been shared.

By accessing, using, and/or downloading or sharing any materials from the UpPromote Platform, you also agree to follow and be bound by the UpPromote Terms of Service.
