JOOLA INDIA AFFILIATE PROGRAM – TERMS AND CONDITIONS

The following Terms & Conditions apply to all individuals accessing or using the Affiliate Program(“Program”) of JOOLA INDIA PRIVATE LIMITED (“Company”) as an Affiliate who refers customers to buy and use the Company’s products or services. By participating in the Program, you agree to use it only in the manner specified herein and are bound by these Terms & Conditions. If you do not agree with these Terms & Conditions in their entirety, you are neither eligible nor authorized to participate in the program in any manner.  

1. DEFINITIONS

1.1 Affiliate: An individual or entity that has been duly registered and approved by JOOLA INDIA to promote the Company's products and/or services through unique tracking links specifically generated and provided by JOOLA INDIA at its designated platform (currently joola.in) for the purpose of facilitating online sales.

1.2 Commission: "Commission" refers to the credit-based earnings accrued by the Affiliate upon the successful and valid purchase of the Company's products by referred Customers directly through the Affiliate's unique tracking link. The commission points displayed on the Affiliate's dashboard represent credit points that can only be used to purchase products available on the official JOOLA INDIA website (currently joola.in) and are strictly non-redeemable for cash or any other form of monetary compensation. The specific commission rate or structure is as outlined in the separate Affiliate Program Policy provided to the Affiliate.

1.3 Affiliate Link: The unique, trackable Uniform Resource Locator (URL) specifically generated by JOOLA INDIA's designated platform (currently joola.in) and assigned to the Affiliate. This link enables the tracking of referred Customers who access the JOOLA INDIA website and potentially purchase products. The Affiliate is responsible for the proper and ethical dissemination of this Affiliate Link to potential buyers of products offered on joola.in.

1.4 Customer (Consumer): A natural person or legal entity who, through the use of a valid Affiliate Link provided to them by the Affiliate, successfully completes a purchase of products offered on the official JOOLA INDIA website (currently joola.in). The use of an Affiliate Link may, in some instances, be accompanied by a valid discount code as explicitly authorized by JOOLA INDIA.

1.5 Consumer vs. Affiliate: A consumer is someone who buys goods or services for personal use, while an Affiliate, engages in activities to generate store credits, by involving other consumers and no other affiliates.

1.6 Affiliate Marketing: Affiliate marketing, as in this program, involves promoting a third-party's products or services online and earning a commission for each sale or lead generated.

1.7 Fraudulent Activity: Any intentional act or omission by the Affiliate or any third party that seeks to improperly generate commissions, including, but not limited to: (a) generating or facilitating fake or automated transactions; (b) engaging in cookie stuffing or other deceptive tracking methods; (c) exploiting technical vulnerabilities or glitches in the Affiliate Program platform; (d) making false, misleading, or unsubstantiated claims or representations about JOOLA INDIA or its products; (e) violating any applicable laws or regulations; or (f) any other activity deemed by JOOLA INDIA, in its absolute discretion, to be unethical, unlawful, or contrary to the spirit of the Affiliate Program.

2. REGISTRATION, APPROVAL, AND AFFILIATE LINKS

2.1 Affiliate Registration and Approval

2.1.1 Right to Approve or Reject: JOOLA INDIA PRIVATE LIMITED ("JOOLA INDIA") holds the exclusive and unconditional right to either approve or reject any application for participation in this affiliate program.

2. Finality of Decision: The decision made by JOOLA INDIA regarding an affiliate registration, regardless of whether the reasons for the decision are communicated, shall be considered final and legally binding. Applicants hereby acknowledge and agree that they shall have no legal recourse against JOOLA INDIA concerning such registration decisions.

2.2 Affiliate Links

2.2.1 Generation of Affiliate Links: Upon successful registration and granting of access to the Affiliate's designated dashboard on the official JOOLA INDIA platform (currently joola.in), Affiliates will be authorized to generate unique tracking links ("Affiliate Links"). These Affiliate Links can be created for the entire JOOLA INDIA website or specific products or collections, depending on the functionalities available on the platform.

2.2.2 Attribution of Sales with Multiple Links: If a potential customer interacts with multiple Affiliate Links associated with the JOOLA INDIA affiliate program before completing a purchase, the sale will be attributed for commission purposes solely to the Affiliate whose link was the last one clicked or used by the customer immediately prior to the purchase.

2.3 Coupon Codes

2.3.1 Assignment of Unique Coupon Codes: JOOLA INDIA may, at its sole discretion, assign unique coupon codes to select Affiliates. The specific details permitted usage guidelines, and any limitations related to assigned coupon codes will be communicated to the respective Affiliates through their dashboard or other official communication methods.

2.3.2 Interaction of Affiliate Links and Coupon Codes: In situations where a customer clicks on an Affiliate Link and subsequently applies a coupon code during the purchase process, JOOLA INDIA reserves the right to determine the applicable attribution method for commission. The Affiliate acknowledges that they will not be entitled to receive double commission in such instances.

2.3.3 Prohibition of Unauthorized Coupon Promotion: Affiliates who have not been explicitly provided with a branded coupon code by JOOLA INDIA are strictly forbidden from promoting or distributing any coupon codes in connection with the JOOLA INDIA Affiliate Program. Any breach of this provision may lead to the immediate termination of the Affiliate's participation in the Program and the forfeiture of any outstanding commissions.

3. AFFILIATE RESPONSIBILITIES

3.1 The Affiliate agrees to promote the Company’s products/services ethically and in line with the product descriptions, specifications, and overall context provided on joola.in. This program is generally envisaged under applicable statutes and regulations, including but not limited to the Consumer Protection Act, 2019 (and its predecessor, the Consumer Protection Act, 1986, Consumer Protection (E-Commerce) Rules, 2020 and the Advertising Standards Council of India (ASCI) Guidelines.

3.2 The Affiliate must clearly disclose their affiliate relationship as per the Advertising Standards Council of India (ASCI) guidelines.

3.3 The Affiliate shall not engage in misleading advertising, brand bidding on keywords related to JOOLA India, or spam marketing practices (including unsolicited emails or messages).

3.4 The Affiliate shall not use copyrighted materials, trademarks, or the Company’s brand names without prior written consent from JOOLA India.

4. COMMISSION TERMS

4.1 Earning Commission: Subject to the Affiliate's full compliance with these Terms and the separate Affiliate Program Policy, the Company will credit the Affiliate with a commission for each Qualifying Sale directly resulting from a customer’s valid purchase made through the Affiliate's unique Affiliate Link. The specific commission rate or structure applicable to such Qualifying Sales is detailed within the current Affiliate Program Policy, which may be updated by JOOLA INDIA PRIVATE LIMITED ("JOOLA INDIA") from time to time.

4.2 Finalization of Commission Credit Points: The commission credit points earned by the Affiliate, which are strictly non-cashable and solely redeemable for the purchase of products on the official JOOLA INDIA platform (currently joola.in) as per the prevailing policy, will be finalized and reflected in the Affiliate's dashboard only after the expiration of the applicable period for product returns, cancellations, or chargebacks, as applicable and as determined by JOOLA INDIA's policies.

4.3 Non-Approval of Commission: No commission will be approved or credited to the Affiliate if the purchased product is subsequently returned by the Customer, the transaction is cancelled by the Customer or JOOLA INDIA, or the transaction is disputed by the Customer leading to a reversal of payment to JOOLA INDIA.

4.4 Adjustment of Credited Commission: If any sale for which a commission has already been credited is later refunded to the Customer or is the subject of a successful dispute resulting in a chargeback to JOOLA INDIA, the corresponding commission credited to the Affiliate will be adjusted or reversed by JOOLA INDIA at its discretion. JOOLA INDIA reserves the right to debit the Affiliate's account or withhold future commission payments to recover such adjusted amounts.

4.5 JOOLA India Admin Approval: The updating of commission credit points in the Affiliate Dashboard is contingent upon review and approval by designated JOOLA INDIA administrative personnel. The timing of such updates is at JOOLA INDIA's operational discretion.

4.6 JOOLA India's Right to Modify Commission: JOOLA INDIA reserves the absolute right to approve or reject the crediting of commission points and to modify the commission percentage, structure, and the Affiliate Program Policy at any time. Any material changes to the commission terms will be communicated to the Affiliates with prior reasonable notice through official channels (e.g., email, dashboard notification). The Affiliate's continued participation in the Program following such notice shall constitute acceptance of the revised terms.

5. TERM & TERMINATION

5.1 This Agreement commences on the date of your registration and will continue until terminated by either party with 30 days' written notice.

5.2 JOOLA India may terminate this Agreement immediately if:

5.2.1 The Affiliate is found engaging in fraudulent activities.

5.2.2 The Affiliate violates any applicable advertising laws, consumer protection laws, or tax regulations in India.

5.2.3 The Affiliate uses prohibited marketing tactics as outlined in these terms or communicated separately.

5.3 Upon termination, the Affiliate must immediately cease all use of the affiliate links, Company’s trademarks and promotional materials. Any pending commission earned legitimately before termination will be processed as per the terms herein.

6. COOKIE POLICY

6.1 Use of Cookies for Tracking: We utilize cookies, which are small text files stored on users' devices, to track Customers who click on your unique Affiliate Link or use your assigned coupon code. For accurate tracking and commission attribution, Customers must have cookies enabled in their web browser settings.

6.2 Impact of Disabled or Cleared Cookies: If a customer’s browser has cookies disabled or if they clear their cookies before completing a purchase on the JOOLA INDIA platform (currently joola.in), our system may not be able to accurately track their activity originating from your Affiliate Link or coupon code. In such cases, no commission will be payable to you for that Customer's order.

6.3 Cookie Duration: The specific duration for which these tracking cookies remain active on a customer’s device ("Cookie Duration") for the period of the affiliate program. By participating in the Program, you acknowledge and agree to the Cookie Duration.

6.4 Tracking Period and Commission Attribution: The tracking period commences immediately when a customer clicks on your Affiliate Link or uses your valid coupon code. Any Qualifying Sale (as defined in Section 4) made by that Customer within the specified Cookie Duration will be automatically attributed to your Affiliate account and eligible for commission, even if the Customer does not subsequently re-click your Affiliate Link before making the purchase, provided all other commission eligibility criteria are met as outlined in these Terms and the Affiliate Program Policy.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 The Affiliate must not modify, misuse, or misrepresent any of the Company’s trademarks, logos, or content. All intellectual property rights related to JOOLA India remain the sole property of JOOLA India.

8. LIABILITY & INDEMNIFICATION

8.1 To the maximum extent permitted under applicable Indian law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement.

8.2 The Affiliate agrees to indemnify and hold the Company harmless from any claims, liabilities, losses, damages, or expenses (including legal fees) arising out of or relating to the Affiliate’s:

8.2.1 Breach of this Agreement.

8.2.2 Violation of any applicable Indian laws or regulations.

8.2.3 False, misleading, or unauthorized advertising or

8.2.4 Fraudulent activities.

9. DISPUTE RESOLUTION

9.1 Any disputes arising from or related to this Agreement shall be subject to arbitration in Bengaluru, India, in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The language of the arbitration shall be English.

9.2 This Agreement shall be governed by and construed in accordance with the laws of India, and the courts in Bengaluru shall have exclusive jurisdiction to adjudicate any matter arising out of or in connection with this Agreement, subject to the arbitration clause above.

9.3 In the event of any dispute between the Affiliate and the referred end customer arising from the use of the affiliate link, JOOLA India shall not be held liable for resolving such disputes.

10. MISCELLANEOUS

10.1 If a customer uses an Affiliate Link for purchasing a product other than the one specifically promoted through that link, the Affiliate Program commission may not be applicable, as determined by JOOLA India.

10.2 JOOLA India shall not be liable for any technical issues, including website downtime or tracking errors, that may occur during the affiliate program. We will make reasonable efforts to resolve such issues.

10.3 We reserve the right to update these Terms and Conditions periodically. For example, to reflect changes in our business practices, legal requirements, or for other operational, legal, or regulatory reasons. By continuing to participate in the affiliate program after these updates are posted on the Joola.in website, you agree to the revised terms. We will endeavour to provide reasonable notice of significant changes.

10.4 If you do not agree to these Terms and Conditions in their entirety, you must not use the affiliate program.

10.5 Removal from the Referral Program: If an Affiliate wishes to be removed from the Affiliate Program, they can request removal by contacting sales@joola.in.
