Glow Off Co Affiliate Agreement

This Affiliate Agreement is produced between:

Life with Lemons CO., an LLC company, whose registered office is in Burlington, KY with operations conducted under the name GlowOff.co and,
You, the Affiliate: You will be referred to as the "Affiliate."
WHEREAS the Company wishes to collaborate with the Affiliate for the services under the terms of this Agreement.

Schedule 1 is located within this Agreement.

The Parties agree as follows:

The Agreement will take force on the date of execution by the Company and acceptance by the Affiliate and shall renew at the end of the current calendar year and every year after that unless the parties decide otherwise according to the termination clause of this Agreement contained in clause 15 of this Agreement.
The Parties acknowledge that this Agreement is not a franchise agreement.
Subject to the terms and conditions of this Agreement, the Company grants access to the Affiliate to use its property for the furtherance of its business.
The Company has trade interests with third parties and reserves the right to amend this Agreement if so, required by such third parties.
The Affiliate shall protect the trademark, copyright, tradenames, and trade secrets that might be revealed to it for the purposes of this Agreement. Should the Affiliate find any infringement, it is responsible to report such infringement promptly to the Company to protect such rights.
The Affiliate agrees to not alter in any manner the pricing, copyrights, trademarks, or any other intellectual property of the Company.
The Affiliate shall bear the burden to carry out all duties agreed by it under this Agreement.
The Affiliate shall keep a record of its activities and furnish such reports upon request by the Company.
The Affiliate shall furnish the following records periodically at the end of every quarter:

Sales generated
Record of successful activities
Progress report of ongoing activities

The Company agrees not to interfere in the way the Affiliate carries out its business activities, provided that.

The Affiliate shall not make any false representation
The conduct of the Affiliate shall promote the goodwill of the Company
The Affiliate avoids deceptive business practices
Its activities are consistent with this Agreement

The Company agrees to assist the Affiliate as long as the Affiliate is not in default status.
Unless otherwise provided in this Agreement, the Company shall not require the Affiliate to work in any specific setup or prohibit it from working with any specific person.
The payment for the services of the Affiliate shall be made according to the agreed terms, and a monthly billing report shall be prepared and paid by the 10^th of every month. All payments will be made in United States dollars and will be calculated in accordance with the provisions set forth in Schedule 1 below.
The relationship between the Company and the Affiliate shall not be deemed as an employee or agent other than for the specific purpose of this Agreement. Neither party will incur any type of debt in the other party's name.
This Agreement shall terminate either upon its expiration or upon either party providing thirty (30) days' written notice to the other party. Either party may elect to terminate this Agreement under the following circumstances:

Breach of any term of this Agreement
Bankruptcy or insolvency instituted by or against a party
Misrepresentation made by any party
In case of acting upon conflicting interests

You waive all claims against the company for the following circumstances:
1. The Site is partially or totally inaccessible and unusable.
2. There are bugs, errors, or viruses.
3. You have been suspended or terminated by the Company.
4. A claim has been made to change this Agreement by the Company.
5. Withholding of an owed fee due.
A waiver of any right or remedy under this Agreement or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent breach.
A failure or delay by a party to exercise any right or remedy provided under this Agreement or by law shall not constitute a waiver of that or any other right or remedy.
You are exclusively responsible for the safekeeping of your password and username of your account. You hereby waive and dismiss any claims against the company that claim there has been unauthorized use and access to your account.
Any dispute you raise shall be as an individual only.
Any dispute arising out of or relating to the terms and conditions of this Agreement shall be governed by, and construed in accordance with, the laws of the State of Kentucky.

The Agreement was executed on the date stated above.

Schedule 1- Payment terms

For each transaction successfully completed utilizing your unique affiliate code, you shall be entitled to compensation amounting to twenty-five percent (25%) of the final sales price. The affiliate code is strictly prohibited from being used for personal transactions at the outset. The percentage will be calculated based on the total amount of the sale, ensuring that each purchase made through your referral code directly contributes to your earnings.

If you are an affiliate based in the United States and your annual commissions exceed $600, we will provide you with a 1099-MISC form. This document is issued for tax purposes, detailing your earnings from our affiliate program throughout the year.
