Nature's Pantry Affiliate Program Terms

These Affiliate Program Terms ("Terms") govern your participation in

the Nature's Pantry affiliate program (the "Program"), operated through

our affiliate platform UpPromote. By submitting an application or

participating in the Program, you ("Affiliate," "you") agree to these

Terms. If you do not agree, do not apply.

("Nature's Pantry," "we," "us," "our"), reserves the right to update

these Terms at any time.

1. Eligibility and application

To participate, you must:

- Be at least 18 years old and legally able to enter into a contract.

- Submit a complete, accurate application through our UpPromote

affiliate signup form.

- Not be located in a country subject to U.S. trade sanctions.

All applications are subject to manual review and approval. We may

approve or reject any application at our sole discretion, with or

without explanation. Approval is not guaranteed, and we may revoke

approval at any time.

2. Affiliate responsibilities

As an approved Affiliate, you agree to:

- Promote Nature's Pantry products honestly and accurately.

- Use only the affiliate links, codes, and creative assets provided

through your UpPromote dashboard.

- Comply with all applicable laws, including the Federal Trade

Commission's (FTC) Endorsement Guides and the CAN-SPAM Act.

- Clearly disclose your affiliate relationship with Nature's Pantry in

every promotional post, video, email, or message — for example,

"#ad," "#affiliate," or "I earn a commission from purchases made

through my link." Disclosures must be clear, conspicuous, and made

before the affiliate link.

- Only promote products through channels you own or have permission to

use (your social accounts, websites, newsletters, etc.).

3. Prohibited conduct

You may not:

- Bid on Nature's Pantry brand terms (including "Nature's Pantry,"

"French Grey Sea Salt," "HydroCelt," "Oro Blanco," and common

misspellings) in Google Ads, Bing Ads, or any other paid search

platform.

- Run paid social ads that drive directly to shopnaturespantry.com

using our brand name, without prior written approval.

- Use cookie-stuffing, click fraud, fake traffic, bots, incentivized

clicks, or any artificial means to generate commissions.

- Make false, misleading, or unsupported claims about our products,

including health claims (our products are not intended to diagnose,

treat, cure, or prevent any disease).

- Use spam, unsolicited email, or unsolicited SMS to distribute

affiliate links.

- Misrepresent yourself as an employee, owner, or official

representative of Nature's Pantry.

- Promote our products on sites or platforms containing illegal,

hateful, sexually explicit, or otherwise objectionable content.

- Purchase products through your own affiliate link (self-referrals

are not eligible for commission).

- Modify, reproduce, or create derivative works of our trademarks,

logos, or copyrighted material outside the assets we provide.

Violation of any of these rules may result in withheld commissions,

removal from the Program, and reversal of any pending payouts.

4. Commissions

- Default commission rate: 10% of the qualifying order subtotal

(excluding taxes, shipping, discounts, and refunded items).

- Attribution window: 30 days. Commission is earned when a customer

completes a purchase within 30 days of clicking your affiliate link,

provided no other affiliate link has been clicked more recently.

- Last-click attribution applies. If a customer clicks multiple

affiliate links, the most recent click receives the commission.

- Commissions are earned only on completed, paid, and non-refunded

orders. If an order is later refunded, charged back, or canceled,

the corresponding commission will be reversed.

- We may run promotions, tiered rates, or special offers from time to

time. Any special rates will be communicated through your UpPromote

dashboard or by email.

5. Payouts

- Payment schedule: monthly, for commissions earned and finalized in

the prior calendar month.

- Minimum payout threshold: $100. If your balance is below $100 at

the end of a payout cycle, the balance rolls over to the next

month until the threshold is met.

- Payment methods: bank transfer (ACH), debit card, or PayPal — your

choice, configured in your UpPromote dashboard.

- Holding period: commissions are held for at least 30 days after

the order ship date to account for returns and chargebacks.

- It is your responsibility to keep your payment information accurate

and up to date. We are not liable for failed payments due to

incorrect details.

- You are solely responsible for any taxes owed on commissions

earned. U.S.-based affiliates earning $600 or more in a calendar

year may be required to provide a completed IRS Form W-9, and we

will issue a 1099 as required by law. Non-U.S. affiliates may be

required to provide a completed W-8BEN.

6. Use of trademarks and brand assets

We grant you a limited, non-exclusive, non-transferable, revocable

license to use our name, logos, product images, and approved marketing

assets solely for the purpose of promoting Nature's Pantry products

under this Program.

You may not:

- Register domain names, social handles, or trademarks containing

"Nature's Pantry," "French Grey Sea Salt," "HydroCelt," "Oro

Blanco," or confusingly similar variations.

- Modify our logos, product names, or packaging imagery.

- Imply endorsement, sponsorship, or partnership beyond the

affiliate relationship.

This license terminates immediately if you leave or are removed from

the Program.

7. Confidentiality

Information shared with you as part of the Program — including

unreleased product details, sales data, custom commission rates,

discount codes not made public, and internal strategy — is

confidential. You agree not to disclose this information to third

parties without our written permission.

8. Term and termination

These Terms remain in effect while you are a member of the Program.

Either party may terminate at any time, with or without cause, by

written notice (including email).

We may suspend or terminate your account immediately and without

notice for any violation of these Terms, fraudulent activity, or

conduct that we determine harms our brand.

Upon termination:

- You must stop using our trademarks, links, codes, and assets within

7 days.

- Earned, finalized commissions above the $100 threshold will be

paid in the next regular payout cycle, subject to the holding

period and any reversals.

- Commissions earned through fraudulent or prohibited activity will

not be paid and may be reversed.

9. Disclaimers and limitation of liability

The Program is provided "as is." We make no guarantees about earnings,

traffic, conversion rates, or the continued availability of the

Program.

To the fullest extent permitted by law, Nature's Pantry will not be

liable for any indirect, incidental, special, or consequential

damages arising from your participation in the Program. Our total

liability to you for any claim is limited to the total commissions

paid to you in the 12 months preceding the claim, or $100, whichever

is greater.

10. Independent contractor

You are an independent contractor. Nothing in these Terms creates an

employer-employee, partnership, joint venture, or agency relationship

between you and Nature's Pantry. You are not authorized to make

representations or commitments on our behalf.

11. Governing law and disputes

These Terms are governed by the laws of the State of California,

without regard to conflict-of-law principles. Any disputes arising

from these Terms or your participation in the Program will be

resolved in the state or federal courts located in California.
