Brand Ambassador Agreement

This Brand Ambassador Agreement (the “Agreement”) is made and entered into as of today, by and between Forbidden Angel LLC (the “Company”) and [Ambassador’s Full Name] (the “Ambassador”). This Agreement outlines the terms and conditions governing the Ambassador’s promotion of Forbidden Angel LLC products in exchange for commission and other benefits.

1. Purpose

This Agreement aims to establish a professional collaboration between Forbidden Angel LLC and the Ambassador. The Ambassador agrees to diligently promote Forbidden Angel LLC products through high-quality social media content to enhance brand visibility, engage audiences, and drive conversions.

2. Ambassador Responsibilities

The Ambassador shall:

Promotional Activities: Actively and consistently feature Forbidden Angel LLC products on Instagram and TikTok through high-quality, engaging content that aligns with the brand’s aesthetic.
Content Requirements:
- Outfit of the Day (OOTD) Videos: Produce at least one (1) engaging “Outfit of the Day” video per month featuring Forbidden Angel LLC products, showcasing styling options and expressing personal insights on the pieces.
- Feed and Reel Posts: Publish a minimum of two to four (2-4) original feed posts, carousel posts, or reels per month on Instagram and/or TikTok, highlighting Forbidden Angel LLC’s products in an authentic and visually appealing manner.
Engagement: Proactively engage with followers by responding to comments and direct messages, answering inquiries about sizing, fit, and quality, and providing personalized recommendations where applicable.

3. Content Guidelines

The Ambassador agrees to maintain the following standards for all content:

Visual Quality: All content must be of high quality, professionally presented, and visually captivating, with clear focus on Forbidden Angel LLC products.
Brand Tagging and Hashtags: Include Forbidden Angel LLC’s official Instagram/TikTok handle and utilize designated hashtags provided by the Company.
Authenticity in Captions: Craft captions that align with both the Ambassador’s personal voice and Forbidden Angel LLC’s brand messaging, effectively communicating the appeal of the products.

4. Compensation and Incentives

Commission Structure: The Company agrees to pay the Ambassador a commission of fifteen percent (15%) on each sale generated through the Ambassador’s unique discount code or affiliate link.
Payment Schedule: Commissions will be calculated and disbursed monthly within [number of days] days following the end of each month, payable via [chosen payment method, e.g., PayPal].
Performance-Based Bonuses: Additional bonuses may be awarded based on sales performance and participation in exclusive promotional events.

5. Provision of Products

Product Gifting: The Company may provide select items to the Ambassador for promotional use, at the Company’s discretion. Products may be allocated on a monthly or campaign basis, contingent upon the Ambassador’s performance and content alignment.

6. Content Approval and Brand Representation

Alignment with Brand Standards: The Ambassador agrees to uphold Forbidden Angel LLC’s brand identity, ensuring all content accurately reflects the Company’s image and values.
Content Approval: For certain campaigns or specific types of content, pre-approval may be required. The Ambassador will submit content to the Company’s designated contact at least [number of days] prior to posting, if applicable.

7. Performance and Expectations

This Agreement is structured to encourage high conversion rates through impactful, authentic content. Should the Ambassador’s engagement or conversions not meet reasonable expectations, Forbidden Angel LLC reserves the right to reassess the Ambassador’s participation in the program.

8. Confidentiality and Exclusivity

Confidentiality: The Ambassador agrees to maintain strict confidentiality of any non-public information shared by the Company, including business strategies, campaign details, and unreleased products.
Exclusivity Clause: The Ambassador shall not endorse or promote any direct competitors of Forbidden Angel LLC during the term of this Agreement without prior written consent from the Company.

9. Term and Termination

Agreement Term: This Agreement is effective from today and will remain in effect until [End Date or “indefinitely”].
Termination Clause: Either party may terminate this Agreement with [number of days] written notice. Upon termination, the Ambassador shall immediately cease all promotional activities related to Forbidden Angel LLC and return any unused promotional items or materials provided by the Company.

10. Intellectual Property Rights

Content Ownership and Licensing: All content produced by the Ambassador remains the property of the Ambassador. However, the Ambassador grants Forbidden Angel LLC a license to repost, share, and utilize the content for marketing purposes across digital platforms, with appropriate credit given.

11. Indemnification

The Ambassador agrees to indemnify and hold harmless Forbidden Angel LLC from any claims, damages, or liabilities arising from any breach of this Agreement by the Ambassador.

12. Entire Agreement

This Agreement constitutes the complete understanding between the parties and supersedes all previous discussions, agreements, or understandings, written or verbal, related to the subject matter herein.
