Sinja Commerce Private Limited - Affiliate Program Terms & Conditions

1. AGREEMENT TO TERMS

By enrolling in the Sinja Commerce Private Limited Affiliate Program (“Program”), you (“Affiliate”) agree to abide by these legally binding Terms and Conditions. If you do not agree to these Terms in their entirety, you are not authorized to participate in the Program. Sinja Commerce Private Limited (“Company” or “Merchant”) reserves the right to update, modify, or terminate these Terms at any time, with or without prior notice, and your continued participation in the Program constitutes acceptance of such changes.

2. AFFILIATE REGISTRATION AND APPROVAL

2.1. The Company reserves the sole and absolute right to accept or reject any Affiliate application without justification.

2.2. The Company may terminate any Affiliate account at any time for any reason, including but not limited to breach of these Terms, fraudulent activities, or misrepresentation.

2.3. The Affiliate shall provide accurate and complete registration information and must not impersonate any entity or individual.

3. AFFILIATE LINKS AND COUPONS

3.1. Affiliates are assigned a unique tracking link upon approval, which may be used to refer customers.

3.2. If multiple referral links are used by a customer, the most recent link shall be credited for the sale.

3.3. Affiliates may be assigned coupon codes at the Company’s sole discretion. Unauthorized distribution of coupon codes is strictly prohibited.

3.4. If a transaction includes both an affiliate link and a coupon, only one commission shall be awarded.

3.5. Affiliates may market the Company’s products through online (e.g., social media, blogs, paid ads) and offline (e.g., newspapers, magazines) channels, provided that all marketing efforts adhere to applicable laws and ethical standards.

4. COMMISSION STRUCTURE AND PAYMENTS

4.1. Affiliates shall earn a commission based on the Company’s prevailing commission structure, which may be modified at any time without prior notice.

4.2. Commission calculations exclude taxes, shipping costs, and any other fees.

4.3. Affiliates must provide accurate and verifiable payment details in their account settings to receive payments.

4.4. Payments shall be made according to the payment schedule specified in the Affiliate Guide.

4.5. Commissions shall only be paid for successfully completed transactions. Orders resulting in chargebacks, cancellations, or refunds shall not be eligible for commission.

4.6. The Company reserves the right to withhold or cancel commissions for transactions deemed fraudulent, suspicious, or in violation of these Terms.

4.7. The Affiliate acknowledges that tax obligations arising from commissions earned are their sole responsibility.

4.8. During Company-run promotional campaigns where the Company may offer discounts and special promo codes, commissions on affected sales will be voided, and Affiliates will not be eligible to earn commissions on such transactions.

5. MARKETING MATERIALS AND RESTRICTIONS

5.1. The Company may provide marketing assets, including but not limited to banners, logos, and promotional materials, accessible in the “Marketing Tools” section.

5.2. Affiliates shall not modify, misrepresent, or use the Company’s intellectual property in any manner that may harm the Company’s brand or reputation.

5.3. Affiliates are prohibited from bidding on the Company’s brand name, variations, or misspellings in pay-per-click (PPC) campaigns.

5.4. Affiliates shall comply with all applicable advertising laws, including but not limited to the Consumer Protection Act, 2075 (2018).

6. NETWORK AFFILIATE PROGRAM

6.1. If enabled, Affiliates may recruit other affiliates (“downline affiliates”) using a unique referral link.

6.2. The referring Affiliate (“upline affiliate”) may receive a network commission for each successful sale generated by a downline affiliate, in accordance with Company policies.

6.3. The Company reserves the right to modify or discontinue the network commission structure at any time without prior notice.

7. TRACKING AND COOKIES

7.1. The Program utilizes cookies to track referral activities.

7.2. Customers must have cookies enabled in their browsers for tracking to function properly.

7.3. The cookie duration shall be specified in the Affiliate registration form, and commissions shall apply to all transactions made within the cookie validity period.

7.4. The Company shall not be liable for untracked sales due to cookie settings, clearing of cookies, or technical limitations beyond its control.

8. TERMINATION AND REMOVAL FROM PROGRAM

8.1. The Company may terminate or suspend an Affiliate’s participation in the Program at any time, with or without cause, including but not limited to violations of these Terms.

8.2. Affiliates may request voluntary removal from the Program by submitting a request to sinjacommerce@gmail.com.

8.3. Upon termination, all unpaid commissions shall be forfeited, and the Affiliate shall immediately cease all use of Company branding and marketing materials.

9. LIMITATION OF LIABILITY

9.1. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the Affiliate’s participation in the Program.

9.2. The Affiliate acknowledges that participation in the Program is at their sole risk and that the Company makes no guarantees regarding income or commission earnings.

9.3. The Company shall not be responsible for any loss, fraud, or technical issues affecting affiliate tracking, payments, or other program operations.

10. INDEMNIFICATION

10.1. The Affiliate agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from their participation in the Program, including but not limited to violations of these Terms or applicable laws.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1. These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of laws principles.

11.2. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Nepal, and the Affiliate agrees to waive any right to a jury trial or class action lawsuit.

11.3. If arbitration fails to resolve the dispute, the matter shall be settled exclusively in the courts of Nepal.

12. ENTIRE AGREEMENT

12.1. These Terms constitute the entire agreement between the Company and the Affiliate and supersede any prior agreements, representations, or understandings.
